Definitions

The following definitions apply to both the Developer License and the Team License unless otherwise specified.

Licensee is the individual (Developer License) or business entity (Team License) who has purchased a license.

Download Files are the files that are downloaded from the Makerkit repository, including all source code, configuration files, assets, documentation, and any other materials provided as part of the licensed kit.

Derivative means any work based upon, derived from, or incorporating any portion of the Download Files, regardless of the extent of modification, refactoring, renaming, or restructuring applied. A work does not cease to be a Derivative merely because it has been substantially modified.

End Product is any artifact produced that incorporates the Download Files or Derivatives of the Download Files.

End User is a user of an End Product. For the avoidance of doubt, End Users of a SaaS product hosted and operated by the Licensee are not Clients, do not receive the Download Files, and do not need their own MakerKit license.

Client is an individual or entity receiving custom professional services directly from the Licensee, produced specifically for that individual or entity, where the Client receives or obtains access to the Download Files, Derivatives, or source code. Customers of software-as-a-service products who only access a hosted application are not considered Clients for the purpose of this document.

Organization means, for a Team License, the Licensee and any entity that directly or indirectly controls, is controlled by, or is under common control with the Licensee (where "control" means ownership of more than 50% of voting securities). Subsidiaries and parent companies are included; sister companies, joint ventures, portfolio companies, and unrelated entities sharing common investors are not. For a Developer License, Organization means the Licensee alone.

Kit means a specific MakerKit product identified by its primary technology stack (e.g. "MakerKit Supabase" or "MakerKit Drizzle"). Major version upgrades within the same Kit (e.g. Supabase v2 to Supabase v3) are considered the same Kit. Different Kits built on different technology stacks (e.g. the Supabase Kit and the Drizzle Kit) are separate products requiring separate licenses.

Employee (Team License only) is a full-time or part-time employee of the Licensee.

Contractor (Team License only) is an individual or business entity contracted to perform services for the Licensee.

Developer License (Standard License)

Makerkit Pte Ltd grants the Licensee a perpetual (until terminated in accordance with this agreement), non-exclusive, non-transferable, non-sublicensable license to use the Download Files. The license grants permission to one individual (the Licensee) to access and use the Download Files. Access to the Download Files is restricted solely to the individual registered on the license through Makerkit's license registration process. The Licensee may use the Download Files on multiple personal devices and accounts they control, provided no other individual is granted access.

Permissible Actions:

  • Use the Download Files to create unlimited End Products for the Licensee's own use or business.
  • Use the Download Files to create End Products where the End Product is sold to or used by End Users as a hosted service (e.g. software-as-a-service).
  • Sell End Products, provided that the End Product does not expose or distribute the Download Files, Derivatives, or source code to the buyer. The license will survive the sale of the End Product.
  • Use automated service providers (hosting platforms, CI/CD pipelines, backup systems, cloud infrastructure) to store, build, and deploy the Download Files solely to operate the Licensee's own infrastructure, provided no human access to the Download Files is granted to individuals outside the license and the Licensee remains responsible for compliance.

Prohibited Actions:

  • No Distribution. The Download Files, Derivatives, or any portion of the source code may not be distributed, transferred, delivered, or otherwise made available to any other individual or entity — including but not limited to clients, contractors, partners, or third parties. The Developer License is strictly personal to the registered Licensee.
  • No Client Work. The Developer License does not permit building End Products for Clients under any circumstances. Client Work requires a Team License. In addition, any Client receiving source code must hold their own valid MakerKit license.
  • No Unauthorized Access. The Download Files may not be shared with, or made accessible to, any individual whose access has not been registered through Makerkit's license registration process. This includes sharing repository access, sending source code files, or providing access through any other means.
  • No Open Source. The Download Files or Derivatives may not be published, released, or distributed under any open-source license, nor made publicly available in any form (including public repositories, open-source projects, or freely downloadable packages).
  • No Competing Products. The Download Files may not be used to create End Products that are designed to allow an End User to build their own End Products using the Download Files or Derivatives, including themes, templates, starter kits, or boilerplate products.
  • No Redistribution. The Download Files or Derivatives may not be re-distributed separately from an End Product, neither in code nor as design assets.
  • No Sublicensing. The Licensee may not sublicense, lease, rent, or otherwise grant any rights in the Download Files to any third party. The license is personal to the registered Licensee and may not be shared, assigned, or delegated.
  • No AI/ML Training. The Download Files may not be used, in whole or in part, as training data for any machine learning model, artificial intelligence system, code generation tool, or similar technology — whether for commercial or non-commercial purposes. This includes but is not limited to fine-tuning language models, training code-completion tools, or feeding the Download Files into any automated code generation pipeline. For the avoidance of doubt, using AI coding assistants (e.g. GitHub Copilot, Cursor, ChatGPT) for development tasks such as prompting, code completion, and refactoring is permitted, provided the Licensee does not use the Download Files to train, fine-tune, or create datasets for such tools.

Developer License Examples

Examples of usage allowed by the Developer License:

  • Creating a personal website or SaaS product for your own business
  • Creating a commercial SaaS application (like an invoicing app) where end users pay a fee to use the hosted application
  • Creating a commercial self-hosted web application that is sold to end users as a compiled/built artifact (without exposing source code)

Examples of usage not allowed by the Developer License:

  • Building a website or application for a client and delivering the source code to them (requires a Team License, and the client needs their own license)
  • Sharing repository access or source code with freelancers, contractors, or collaborators
  • Publishing the Download Files or any Derivative as an open-source project
  • Creating a theme, template, or project starter kit using the Download Files

Team License

Makerkit Pte Ltd grants the Licensee a perpetual (until terminated in accordance with this agreement), non-exclusive, non-transferable, non-sublicensable license to use the Download Files. The license grants permission to the Licensee Organization to access and use the Download Files.

The license grants permission to all Employees and Contractors of the Licensee to access and use the Download Files, provided that such access is solely for the purpose of building End Products owned by the Licensee or its licensed Clients. When an Employee or Contractor ceases their engagement with the Licensee, they must immediately delete all copies of the Download Files and Derivatives in their possession and may not retain or continue to use them.

Permissible Actions:

  • Use the Download Files to create unlimited End Products for the Licensee's own use or business.
  • Use the Download Files to create End Products where the End Product is sold to or used by End Users as a hosted service.
  • Use the Download Files to create End Products for Clients, provided that any Client who receives the source code, Download Files, or Derivatives holds their own valid MakerKit license (Developer License or Team License, as appropriate for the Client's own use).
  • Sell End Products, provided that the End Product does not expose or distribute the Download Files or source code to the buyer unless the buyer holds a valid MakerKit license. The license will survive the sale of the End Product.
  • Use automated service providers (hosting platforms, CI/CD pipelines, backup systems, cloud infrastructure) to store, build, and deploy the Download Files solely to operate the Licensee's own infrastructure, provided no human access to the Download Files is granted to individuals outside the Organization and the Licensee remains responsible for compliance.

Prohibited Actions:

  • No Distribution Outside Organization. The Download Files, Derivatives, or any portion of the source code may not be distributed, transferred, delivered, or otherwise made available to any individual or entity outside the Licensee's Organization — unless such recipient holds their own valid MakerKit license.
  • No Unlicensed Client Use. The Download Files may not be used to build End Products for Clients unless the Client independently holds a valid MakerKit license. Building a SaaS product that Clients use as End Users of a hosted service is permitted — but transferring, deploying, or providing the source code or Download Files to a Client's own infrastructure, repository, or team is prohibited unless that Client holds their own valid license. This prohibition applies regardless of whether the arrangement is structured as a work-for-hire, assignment, managed service, or any other contractual framework — the Client must hold their own license if they receive or obtain access to the Download Files, Derivatives, or source code.
  • No Per-Client Deployments Without Client License. Deploying separate bespoke instances of the Download Files or Derivatives where each instance is created for and dedicated to a specific Client — whether on the Licensee's infrastructure or the Client's — is considered distribution and requires each such Client to hold their own valid MakerKit license. This applies even if the Licensee retains administrative control of the deployment. For the avoidance of doubt, the following are permitted without additional licenses: a single multi-tenant SaaS application serving multiple End Users; staging, production, and preview environments for the Licensee's own End Products; regional deployments (e.g. EU/US) of the same End Product; disaster recovery and failover copies; and logical tenant isolation within a single deployment.
  • No Open Source. The Download Files or Derivatives may not be published, released, or distributed under any open-source license, nor made publicly available in any form.
  • No Competing Products. The Download Files may not be used to create End Products that are designed to allow an End User to build their own End Products using the Download Files or Derivatives.
  • No Redistribution. The Download Files or Derivatives may not be re-distributed separately from an End Product.
  • No Unauthorized Use. The Download Files may not be used to create End Products that are the property of any individual or entity other than the Licensee or its licensed Clients. Employees and Contractors may not use the Licensee's MakerKit license to build personal projects, side projects, or products unrelated to the Licensee's business.
  • No Sublicensing. The Licensee may not sublicense, lease, rent, or otherwise grant any rights in the Download Files to any third party outside the Licensee's Organization, except as expressly permitted for licensed Clients.
  • No AI/ML Training. The Download Files may not be used, in whole or in part, as training data for any machine learning model, artificial intelligence system, code generation tool, or similar technology. For the avoidance of doubt, using AI coding assistants for development tasks is permitted, provided the Licensee does not use the Download Files to train, fine-tune, or create datasets for such tools.

Team License Examples

Examples of usage allowed by the Team License:

  • Creating a website or SaaS product for your company
  • Creating a website or web application for a client, where the client holds their own valid MakerKit license
  • Creating a commercial SaaS application where end users pay a fee to use the hosted application
  • Creating a commercial self-hosted web application that is sold to end users as a compiled/built artifact (without exposing source code)

Examples of use not allowed by the Team License:

  • An agency using one MakerKit license to build and deliver SaaS products to multiple clients, transferring source code to each client (each client needs their own license)
  • An agency deploying separate MakerKit instances per client on the agency's own servers, even if the client never sees the source code (each deployment requires the client to hold their own license)
  • Structuring a client engagement as "work for hire" to circumvent the client license requirement — regardless of who legally "owns" the resulting code, the Client must hold their own MakerKit license if they receive the Download Files or Derivatives
  • Creating a theme or template using the Download Files and making it available either for sale or for free
  • Employees or contractors using the company's MakerKit license to build their own websites, side projects, or products unrelated to the Licensee's business
  • Publishing the Download Files or any Derivative as an open-source project or making source code publicly available

Lifetime Updates & Support

Both the Developer License and Team License include lifetime access to updates and support for the purchased Kit, subject to the following terms.

What is included:

  • Lifetime updates to the Kit identified at the time of purchase, including all future versions, major upgrades, bug fixes, security patches, and improvements within the same Kit lineage (e.g. MakerKit Supabase v2 to MakerKit Supabase v3).
  • Lifetime support via the channels provided by Makerkit Pte Ltd (e.g. email, Discord, or other support channels as made available from time to time).
  • Access to new versions of the same Kit as they are released, at no additional cost, for as long as the Licensee's license remains active and in good standing.

What is not included:

  • Access to different Kits built on different technology stacks. For example, a license for the MakerKit Supabase Kit does not grant access to the MakerKit Drizzle Kit. Each Kit is a separate product requiring its own license purchase.
  • Guaranteed availability of specific features, timelines, or development roadmap items. Makerkit Pte Ltd will make commercially reasonable efforts to maintain and improve the Kit but makes no binding commitments regarding the scope, frequency, or nature of updates.
  • Custom development, consulting, or implementation services beyond standard support.

Makerkit Pte Ltd reserves the right to determine, in its sole discretion, whether a new product constitutes a new version of an existing Kit (included) or a separate Kit (not included). In cases of ambiguity, Makerkit Pte Ltd will communicate the classification to Licensees prior to release.

Intellectual Property

Makerkit Pte Ltd retains all right, title, and interest in and to the Download Files, including all intellectual property rights therein. Nothing in this agreement transfers ownership of the Download Files or any intellectual property rights to the Licensee. The Licensee acquires only the limited usage rights expressly granted in this agreement.

Termination

This license is effective until terminated. The license will terminate automatically and immediately, without notice, if the Licensee breaches any provision of this agreement. Upon termination, the Licensee (and all Employees and Contractors, if applicable) must:

  • Immediately cease all use of the Download Files.
  • Permanently delete all active copies of the Download Files and Derivatives in the Licensee's possession or control, including copies on local machines, servers, and repositories. Copies residing in immutable or automated backup systems that cannot be selectively purged shall expire in accordance with the Licensee's standard retention policies, and the Licensee shall not restore or use such copies for any purpose after termination.
  • Confirm destruction in writing to Makerkit Pte Ltd upon request.

Termination does not relieve the Licensee of any obligations or liabilities incurred prior to termination. The provisions regarding Prohibited Actions, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Audit Rights, Governing Law, and General Provisions shall survive termination.

Indemnification

The Licensee agrees to indemnify, defend, and hold harmless Makerkit Pte Ltd, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to the Licensee's use of the Download Files, any breach of this agreement, or any unauthorized distribution of the Download Files by the Licensee or any party who obtained access through the Licensee.

Audit Rights

Makerkit Pte Ltd reserves the right to audit the Licensee's use of the Download Files to verify compliance with this agreement, subject to the following constraints: audits shall be conducted no more than once per twelve-month period; Makerkit Pte Ltd shall provide at least thirty (30) days' written notice prior to an audit; and audits shall be limited in scope to evidence of license compliance (e.g. list of registered users, number of deployments, client licensing attestations) and shall not require access to the Licensee's proprietary business systems or unrelated data. The Licensee agrees to cooperate with any such audit and provide the requested compliance records within a reasonable timeframe. Makerkit Pte Ltd may, at its option, engage an independent third-party auditor bound by confidentiality obligations. If an audit reveals a material breach, the Licensee shall bear the reasonable costs of the audit in addition to any other remedies available to Makerkit Pte Ltd.

Disclaimer of Warranties & Limitation of Liability

The Download Files are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Makerkit Pte Ltd makes no warranties or representations regarding the accuracy, reliability, completeness, or timeliness of the Download Files or the results obtained from their use.

In no event shall Makerkit Pte Ltd, its directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or goodwill — arising out of or in connection with the use of, inability to use, or reliance on the Download Files, regardless of the cause of action or the theory of liability, even if Makerkit Pte Ltd has been advised of the possibility of such damages.

The Licensee assumes all responsibility and risk for the use of the Download Files. Makerkit Pte Ltd's total cumulative liability, if any, shall not exceed the amount paid by the Licensee for the license.

Governing Law & Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

General Provisions

Severability. If any provision of this agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Waiver. The failure of Makerkit Pte Ltd to enforce any provision of this agreement at any time does not constitute a waiver of that provision or the right to enforce it at a later date. No waiver shall be effective unless made in writing and signed by Makerkit Pte Ltd.

Entire Agreement. This agreement constitutes the entire agreement between the Licensee and Makerkit Pte Ltd with respect to the subject matter hereof and supersedes all prior negotiations, representations, warranties, commitments, offers, contracts, and agreements, whether written or oral, relating to such subject matter.

Amendments. Makerkit Pte Ltd reserves the right to modify this agreement at any time. Updated terms will be posted at this URL with a revised "last updated" date. Continued use of the Download Files after notification of changes constitutes acceptance of the updated terms. For material changes that substantially restrict the Licensee's rights, Makerkit Pte Ltd will make reasonable efforts to notify Licensees via email.
